•"Website" refers to Planobit's website accessible from our domain.

Use of Services

Eligibility

You must be at least 18 years old to use our services. By using our services, you represent and warrant that you meet this eligibility requirement and have the legal capacity to enter into this agreement.

Account Responsibilities

If you create an account with us, you are responsible for:

•Maintaining the security and confidentiality of your account credentials
•All activities that occur under your account
•Notifying us immediately of any unauthorized use of your account
•Providing accurate and complete information

Prohibited Uses

You agree not to use our services to:

•Violate any applicable laws or regulations

Services and Deliverables

Planobit provides custom software development, team augmentation, consulting services, and bootcamp training programs. The specific scope, deliverables, timelines, and fees for services will be outlined in separate service agreements or statements of work.

We will use reasonable efforts to meet project timelines and deliver quality services. However, delays may occur due to factors beyond our control, and we are not liable for delays caused by circumstances outside our reasonable control.

Intellectual Property Rights

Unless otherwise specified in a separate agreement:

•All intellectual property rights in custom work created specifically for you will be transferred to you upon full payment
•We retain all rights to our pre-existing materials, frameworks, and tools
•Our website content, trademarks, and branding remain our exclusive property
•You grant us permission to use your project as a case study unless otherwise agreed

Payment Terms

Payment terms will be specified in your service agreement. Generally:

•Invoices are due within 15 days of issuance unless otherwise specified
•Late payments may incur additional charges
•We may suspend services for non-payment
•All fees are non-refundable unless otherwise agreed in writing

Confidentiality

Both parties agree to maintain confidentiality of any proprietary or confidential information shared during the course of our engagement. This includes:

•Business strategies and financial information
•Technical specifications and source code
•Customer data and user information
•Any information marked as confidential

Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. However, except as expressly stated in a service agreement:

OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that our services will be uninterrupted, error-free, or completely secure.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLANOBIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you to us for the services in the 12 months preceding the claim.

Termination

Either party may terminate services under the following conditions:

•For convenience with 30 days written notice
•Immediately for material breach of these Terms
•Upon mutual written agreement

Upon termination, you remain responsible for payment of all services rendered up to the termination date.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Nepal. Any disputes arising from these Terms or our services shall be resolved through:

•Good faith negotiations between the parties
•Mediation if negotiations fail
•The courts of Nepal if mediation is unsuccessful

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and Planobit regarding the use of our services and supersede all prior agreements and understandings.
